Terms of Service
These Terms of Service ("Terms") govern your use of the Shoppa platform, operated by Shoppa Dynamics. By creating an account or using the platform, you agree to these Terms. You must be at least 18 years old and authorized to enter into agreements on behalf of your business. If you do not agree to these Terms, do not use the platform.
What Shoppa Provides
Shoppa is a cloud-based commerce platform. Your subscription gives you access to: a point-of-sale application for in-store sales, a BackOffice dashboard for inventory management and business analytics, Webstore hosting for your online storefront, and offline functionality so you can continue selling when your internet connection is interrupted. The platform connects to third-party payment processors that you select and configure. Shoppa does not process payments directly.
Your Account
When you register, you must provide accurate and complete information about yourself and your business. Each merchant business should maintain one account. You are responsible for keeping your password secure and for all activity that occurs under your account. If you believe your account has been accessed without authorization, contact us immediately at hello@shoppahq.com. We are not liable for losses that result from someone else using your credentials.
Billing and Payment
Shoppa for Africa is billed at N250,000 per year, charged annually to your payment method on file. We may update our pricing with 30 days advance notice by email. New subscriptions come with a 15-day money-back guarantee -- if you are not satisfied within the first 15 days, contact hello@shoppahq.com for a full refund. After the 15-day period, payments are non-refundable; if you cancel, you retain access through the end of your current billing cycle. There are no cancellation fees and no minimum contract term.
Acceptable Use
You may use Shoppa only for lawful business purposes. You agree not to: process fraudulent, unauthorized, or illegal transactions; sell goods or services that are prohibited by law or by your payment processor's terms; violate any applicable law or regulation in your jurisdiction; attempt to reverse engineer, copy, or distribute the Shoppa platform; use automated tools to scrape, crawl, or abuse our systems; or take any action that damages or interferes with the platform for other users. You are responsible for all activity that takes place under your account.
Your Business Data
You own your business data. This includes your product catalog, inventory records, customer lists, transaction history, invoices, purchase orders, and any other records you create on the platform. We do not claim any ownership or license over your business data. You can export all of your data in standard formats (CSV, JSON via API) at any time, at no additional cost. This right to export exists during your subscription and for 90 days after cancellation.
Your Customers' Data
When you use Shoppa to manage your customers' information, you are the data controller for that information. You are responsible for complying with the privacy laws that apply to your business and your customers, which may include obtaining consent, providing privacy notices, and honoring deletion requests. We process your customers' data only as instructed by your use of the platform. Our Privacy Policy describes how we handle data in our role as data processor.
Payment Processors
Shoppa integrates with payment processors you choose, which may include Paystack, Flutterwave, and others available in your region. Your relationship with your payment processor is governed by that processor's own terms and agreements, which you must accept separately. Shoppa does not process payments, hold merchant funds, or take responsibility for processor fees, chargebacks, or disputes between you and your processor. Shoppa does not charge transaction fees on top of your processor's fees.
Intellectual Property
The Shoppa platform, including its code, design, documentation, and branding, is owned by Shoppa Dynamics and protected by intellectual property laws. Your subscription gives you a non-exclusive, non-transferable license to use the platform for your business while your subscription is active. You may not copy, modify, sublicense, or distribute the platform. Your business data and content remain yours.
Service Availability
We work to keep Shoppa available and reliable, but we do not guarantee uninterrupted or error-free operation. The POS includes offline functionality so you can continue processing sales if your internet connection drops. Scheduled maintenance will be announced in advance when possible. We are not liable for losses arising from service interruptions, outages, or errors, whether or not they were within our control.
Limitation of Liability
Shoppa is provided on an "as is" and "as available" basis. We make no warranties, express or implied, including warranties of merchantability or fitness for a particular purpose. To the maximum extent permitted by law, Shoppa Dynamics is not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform. Our total liability to you for any claim is limited to the fees you paid to Shoppa in the 12 months before the claim arose. We are not responsible for errors, outages, or disputes involving your payment processor.
Indemnification
You agree to defend, indemnify, and hold harmless Shoppa Dynamics and its employees, officers, and contractors from any claims, losses, or expenses, including reasonable legal fees, arising from: your use of the platform; your violation of these Terms; your violation of any law or third-party right; or any data breach that originates from your account.
Termination
You can cancel your subscription at any time from your account settings. After cancellation, you retain access through the end of your current billing period. You can export all your data before or after cancellation -- we will keep your data accessible for 90 days after your account closes. After 90 days, your data is permanently deleted unless we are legally required to retain it. We may suspend or terminate your account if you violate these Terms, with notice where reasonably possible. In cases of serious violations (fraud, illegal activity), we may suspend immediately.
Disputes
These Terms are governed by applicable law. If you have a dispute with us, we ask that you contact legal@shoppahq.com first so we can try to resolve it informally. If we cannot resolve the dispute within 30 days, either party may pursue the matter through the appropriate legal channels in your jurisdiction.
Changes to These Terms
We may update these Terms when the law requires it or when we make significant changes to the platform or our policies. For material changes, we will email you at least 30 days before the new terms take effect. If you continue using Shoppa after the changes take effect, you accept the updated Terms. If you disagree with a change, you can cancel your subscription before it takes effect.
